These "Terms & Conditions" govern your use of the “kleeto” Serv ice and Website (www.kleeto.in) hereinaf - ter referred to as "Service". The Service is owned and operated by Next Gen Paper Solutions Pvt Ltd. (hereinafter referred to as kleetosm) and is offered to you (hereinafter r eferred to as "End User" or “You”) as per your agreement with and acceptance of this document (hereinafter referred to as "Subscription"). By clicking the box entitled "I Agree to the Terms and Conditions" as part of the registration process, You accepts all items in the Terms and Conditions and agree to abide by and be legally bound by the Terms & Condition s. By browsing, visiting and using the kleeto website, You accept and agree to abide by all of these Terms & Condition s. If You do not agree to any of these Terms & Condi - tions, You should not use the kleeto service including websi te. These Terms & Conditions are an ongoing contract be - tween You and kleeto and apply to your use of the kleeto servic e and website. These Terms & Conditions affect your rights and You should read them carefully

Changes to Terms and Conditions

eeto reserves the right, from time to time, with or without n otice to You, to change these Terms & Conditions in kleeto’s sole and absolute d iscretion. The most current version of these Terms & Conditions can be reviewed by clicking on the "Terms & Conditi ons" located at the bottom of the pages of the kleeto Website. The most current version of the Terms & Conditions wil l supersede all previous versions. Your use of the kleeto Website or continued use of kleeto service after changes are made means that You agree to be bound by such change.

Service Details

Kleeto offers document management services to End Users. kl eeto service includes storage of X number of physical documents, Y number of digital documents and N number of trips to End Users home/office, where the value of X, Y and N are based on the service package type that End User purchases from kleeto. There are multiple services packages available for End User to purchase. Service will be offered on annual subscription basis and End User has to renew the account by making payment to continue to use the service beyond expiry of Subscription of service with kleeto. In case if N trips exhaust before one year duration, End User has to renew the account or upgrade the account to continue to use more trips. If physical documents stored with kleeto exceed X number, End User will have to either upgrade the account or recall some documents to store more physical documents with kleeto. Similarly if End User account reaches Y digital documents, End User will have to ei ther upgrade the account or delete digital documents to create space for more documents. X physical documents and Y di gital documents are overall limits on account and are not limits for every year – which means End User can store max of X physical document and Y digital documents at any time. However the N trip is renewed every year, so every year End User will get N more trips for document collection and document retrieval. Digital document will have an upper li mit of storage as well – so digital document storage will also be limited by storage limit of Z KBs, in case of digital s torage either Y digital documents or Z KBs of storage is allowed and account will reach limits when either one of the two conditions will reach.

Document Definition

For physical document count, if document submitted is less than 5 pages it will be counted as one document however for documents with more than 5 pages, ever y 5 pages of physical document submission are considered one document. kleeto does not count both side printi ng as 2 papers, so 5 pages of both side printed papers will also be counted as 1 physical document. Every document whi ch is multiple pages should be stapled / tied together before sending it to kleeto else loose pages will be treated as one document each.For digital document, every document submitted or uploaded as file will be treated as one document only or in other words every file uploaded to kleeto site will be treated as one digital documentDocument exclude any cur rency notes of any country.

Trip Definition

ny packet pickup from End User’s location (home/office or any other address) with less than 5 docu - ments will be treated as one trip and similarly any packet delivered to End User location with less than 5 documents will be treated as one trip. Any packet with more than 5 documents will be treated multiple trips with each bundle of 5 documents counted as one trip

Changes to Website and Services

Kleeto reserves the right, from time to time, with or without notice to you, to change the definition of service and website. However the infor mation shared by End User and content shared with kleeto will not be affected by such changes. Information about the definition of Service and website changes can be accessed from kleeto website.

Privacy

Any information submitted on the kleeto Website is subject to our Privacy Policy, the terms of which can be viewed at Privacy Policy section of the website.

Information required from end user

Once End User becomes subscriber of the service kleeto would r equest End User for certain basic information for registration. Once End U ser provides us with the details, kleeto would request for additional information in order to provide the services. All in formation provided form End User will be treated as private and confidential. The same is more fully detailed under Privacy Policy section on website.

Registration and Use

End user agrees and understand that End User is responsible for maintaining the confidentiali - ty of all information provided to the kleeto while registering himself/herself, which includes login ID, e- mail address and the passwords for the same. End user is fully responsible for all activities that occur under his/her e mail address pass - word or account and he/she shall ensure that End User will exi t from his/her account at the end of each session.kleeto will send all correspondences, notices and any other communic ation to the e-mail address furnished by End User. In case of any change in the said e-mail address, it is End User’s duty to update or change the same.kleeto shall maintain secre - cy and use all reasonable security measures to ensure that the information is not misused by any third party. In the event of End User becoming aware of any unauthorized or misuse of the information provided by End User to the Com - pany, End User is requested to forthwith contact the Company atsupport@kleeto.inkleeto cannot and will not be liable for any loss or damage arising from End User’s failure to compl y with this Section.

Legal Uses

End User agrees and understand that their right to access and u se the Services offered on this Website is personal to them and is not transferable by them to any other p erson or entity. End User understands that they are authorized to access and use the services only for legal and l awful purposes.End User further undertakes and state that by using the services they are in no way impersonating or misr epresenting any person or entity. All services availed are for themselves only.End User’s access and use of this Website may be interrupted from time to time for any of the sev - eral reasons, including, without limitation, the malfunction of equipment, periodic updating, maintenance or repair of the Website or other actions that the Website, in its sole discreti on, may elect to take. We at kleeto utilize our best efforts to provide the Services without any interruptions or hindranc e, however, we do not warrant that the function, opera - tion, security or accessibility of the Website will be uninterr upted or error-free, that defects will be corrected. As an End User of the Website, You agree that Your access will be subjec t to these terms and conditions. kleeto shall not be liable for damages of any kind related to End User’s use of or inabili ty to access the Website.

Intellectual Property

End User acknowledges and agree that this Website and any neces sary software used in con - nection with the Website contain proprietary and confidential i nformation that is protected by applicable intellectual property and other laws. End User further acknowledge and agr ee that any content or software on this Website, includ - ing its "look and feel" (e.g., text, graphics, images, logos an d button icons), photographs, editorial content, notices, soft - ware (including html-based computer programs) and other materi al is protected by national and international laws relat - ing to copyrights, trademarks, service marks, patents or other proprietary rights. Except as expressly authorized by the Company End User agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on this Web - site, the Services offered thereto or any software thereto, in whole or in part.End User acknowledges that the entire Website and its contents including the software is owned or dul y licensed to kleeto and are protected by the Copyright laws in India and under international treaty provisions. All tr ademarks, service marks, and logos used and displayed on this Website are registered to and/or owned by their respectiv e owners. Nothing on kleeto Website should be construed as granting, by implication, estoppel, or otherwise, any licens e or right to use any of the trademarks, service marks and logos displayed on the Website, without the prior written cons ent and permission of the kleeto or the respective own - ers.End User may download or print a copy of information provid ed on this Website for personal, internal and non-com - mercial use only. Any distribution, reprint or electronic repr oduction of any content from this Website in whole or in part for any other purpose is expressly and explicitly prohibited wi thout kleeto’s prior written consent.

Prohibitive Activities

End User agrees NOT to do to the following:

KLEEO MAKES NO REPRESENTA - TIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE CONTENT OR OPERATION OF THIS WEBSITE OR OF THE SERVICE. END USER EXPRESSLY AGREE THAT YOUR USE OF T HE SERVICE IS AT YOUR SOLE RISK.KLEETO MAKES NO REPRESENTATIONS, WARRANTIES OR GUARANTEES, EXPRESS OR IMPLIED, REGARDING (i) THE ACCURACY, RELIABILITY OR COMPLETENESS OF THE CONTENT ON THIS WEBSITE OR (ii) OF THE SERVICE, AND EXPRESSLY DIS - CLAIMS ANY WARRANTIES OF NON- INFRINGEMENT OR FITNESS FOR A PA RTICULAR PURPOSE. KLEETO, SHALL IN NO EVENT BE RESPONSIBLE OR LIABLE TO END USE R OR TO ANY THIRD PARTY, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGEN CE) OR OTHERWISE, FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, LIQUIDATED OR PU NITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFIT, REVENUE OR BUSINESS, BUSINESS INTE RRUPTION, LOSS OF PROGRAMS OR INFORMA - TION, OR LOSS OF SAVINGS, OR ANY OTHER DAMAGES ARISING - IN ANY WAY, SHAPE OR FORM - OUT OF THE AVAILABILITY, USE, RELIANCE ON, OR INABILITY TO UTILIZE THE SE RVICE ARISING IN WHOLE OR IN PART FROM YOUR ACCESS TO THIS WEBSITE, END USER’S USE OF THE SERVICE OR T HIS AGREEMENT, EVEN IF THE KLEETO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.KLEETO WILL PRO VIDE LIMITED LIABILITY AGAINST LOSS OR DAMAGE OF PHYSICAL DOCUMENTS WHILE THE DOCUMENT IS IN KLEETO’S CUSTODY TO THE EXTEND OF INR 100 (INDIAN RUPPES ONE HUNDRES ONLY) PER LOST OR DAMAGED DOCUMENT – THIS IS TO HELP END USER MEET RE - PRODUCTION EXPENSES RELATED TO THAT DOCUMENT. SUCH PAYMENTS WIL L BE ADJUSTED AGAINST NEXT RENEW - AL OR UPGRADE CYCLE OF THE SUBSCRIPTION.

Indemnity by End user

You shall defend, indemnify and hold harmless the Company and its officers, directors, shareholders, and employees, from and against all loss, damages , claims and expenses, including but not limited to attorneys fees, in whole or in part arising out of or attribu table to any breach of this Agreement by You, any misrepre - sentation or misuse of the Service offered to You or any negli gent or unreasonable or inappropriate use of the Website or the Services.

Termination or closure of account

his Agreement to be applicable and shall be binding on the p arties, i.e., End User and kleeto, unless terminated as specified below:(a) by en d user, by making a request on website or calling cus - tomer care for closure of account;(b) kleeto may terminate this Agreement and close Your account if it comes to the knowledge of the Company that You have breached any of these terms and conditions, whether intentionally or by im - plication;(c) The Company may terminate the Agreement, if so r equired to be one by an express direction of law or regulatory agency(d) in the event of death of end user, accoun t will be closed on request from nominee of the end user after providing required documents to the company as per law kl eeto hereby expressly states that this Service is intend - ed for End Users who are legally permitted to enter into a con tract. This Service is not intended for the use of people who are not permitted to enter into a valid and binding contrac t. In the event if it comes to the attention of the Compa - ny, from authentic and valid resources, that a particular End U ser does not meet this criteria, then, the Company will forthwith close the account of the said End User and will del ete all information and content which is relating to that End User without any obligation or liability towards such End User from the Company's records. In case of closure of ac - count, kleeto will delete all digital information and will retu rn all the physical documents back to end user. For returning the documents back to end user, kleeto will not charge if end u ser still has trips left for delivery and those trips can cover the volume of documents else kleeto will charge for the d elivery of physical documents back to end user.

Renewal Related

his service is offered on annual subscription basis, for all the end users who do not renew the account after subscription expires, the access to website will be blocked till the time end user renews the subscription. In case of end user closure of account after subscription expires, kleeto will delete all digital records and will return all physical records after end user pays for the delivery of record s to kleeto. Renewal charges will be applicable from the last date of previous subscription. kleeto will maintain digital and physical records for a period of 3 years after subscrip - tion expires and will at it own discretion destroy all physical and digital records.

Trial Accounts through channels

All the end users acquired through free coupons or channel par tners will have to pay the fee to get physical documents back in case they close the account after trial period expires or their entitlement to free account is over.

Service Level Agreement

All the services will be delivered within time stated on the website E.g. all deliveries will be done within 2-3 working days and all pickups will be done wi thin 2-3 working days. Working days exclude all holi - days and Sundays. These time limits will be met 95% of the ti me and 5% cases may vary. Additionally, services may be delayed further in all cases where kleeto does not have direct control on the event E.g. natural calamity etc. kleeto will try to make all the services delivered in given SLA but there i s warranty or guarantee for the same. It is kleeto’s best effort to deliver 95% of the services within agreed time.

Jurisdiction

The Company controls and operates this Website from its regis tered office in Delhi, India, and makes no representation that these materials are appropriate or availabl e for use in other locations. If You use this Website from other locations, You are responsible for compliance with applic able local laws. This Agreement shall be treated as though it were executed and performed in Delhi, India and shall be governed by and construed in accordance with the local domestic laws of India (without regard to conflict of l aw principles). All legal proceedings arising out of or in con - nection with this Agreement shall be brought solely in New Del hi, India. All disputes that may arise shall be resolved in accordance with rules specified under the Indian Arbitration an d Conciliation Act, 1996 and venue for arbitration shall be New Delhi. The courts in New Delhi shall have the sole jurisdic tion regarding the subject matter of this Agreement
